The collapse of Dong A commercial joint stock bank : A corporate governance perspective
Abstract
The term “Corporate Governance” has become more and more popular among enterprises in Vietnam recent years. More and more businesspeople are aware of the meanings as well as the importance of the term corporate governance (CG). In the past, corporate governance was not known by most leading companies in Vietnam, especially state-owned enterprises; however, the importance and essential of corporate governance have been recognized by new generations of leader with greater awareness of business administration. By applying principles of corporate governance, leaders and managers of companies have changed the ways they manage their firms basically, making them more effectively and steadily. When the term “Corporate Governance” was first introduced, only some ventures and some firms operating in financial industry welcomed this new term. However, corporate governance now is compulsory for every listed company.
DongA Bank was a famous retail bank in Vietnam, which was established in 1992. After the financial crisis, the bank struggled in different issues, which led to the special control condition by SBV in August 2015.
This research is prepared to point out some of the corporate governance factors that DongA Bank failed to satisfy and to provide recommendations on how to improve the current situation.
