dc.description.abstractThis paper aims to examine the relationship between Board characteristics and IC disclosure with the evidence from non-financial listed companies on HOSE. There are 269 non-financial listed firms on HOSE with financial year of 2014 and 2015 were selected into the sample. Qualitative method, which is content analysis, is used to examine the extent and level of Intellectual Capital disclosure. Simultaneously, quantitative method is applied to run the multiple regression models to come up with final results. Proportion of independent non-executive directors to total Board members, CEO duality, ownership concentration and audit committee meetings frequency are used as independent variables, which represents for Board characteristics, controlling for listing age, profitability (ROA), and firm size (Revenues). Content analysis shows equivalent allocation among Human capital, Relational capital and Structural capital of the observed companies. Two models, which are same-year and time-lag regression model, are examined to distinguish different effects, and the final results are quite surprising. While same-year model indicates positive associations between Board composition, Profitability, and Firm size and Intellectual Capital disclosure; time-lag model, in contrast, implies positive relationships between Ownership concentration, Audit committee meeting frequency, Firm size and Intellectual Capital disclosure. The findings from this paper are expected to be most useful for investors in achieving more efficiency in their investments, by reducing information asymmetry risk between them and the company.
